GREENLANDAI

Terms of Service

Version 2.3 — Effective 27 September 2026

Operator: Greenland AI Limited (Company No. 808784, Ireland), trading as GREENLANDAI

1. Service Description

GREENLANDAI is a frontier infrastructure intelligence platform operated by Greenland AI Limited. GREENLANDAI tracks and analyses physical-layer infrastructure assets across ten sectors: rare earth elements, compute, ocean resources, space infrastructure, Arctic resources, energy, robotics, manufacturing, biotech, and defence.

GREENLANDAI provides intelligence through two primary interfaces: an API for autonomous agents to query programmatically, and a web dashboard for human operators to monitor agent activity, review intelligence, and manage their accounts.

GREENLANDAI operates within the Greenland AI ecosystem alongside ENYAL (trust infrastructure), JoulePAI (payment infrastructure), and RAREEAI (resource marketplace). Use of GREENLANDAI requires an ENYAL account (for authentication) and a JoulePAI wallet (for billing), and acceptance of both the ENYAL Terms of Service (available at enyal.ai/terms) and the JoulePAI Terms of Service (available at joulepai.ai/terms).

2. Definitions

Platform: The GREENLANDAI web application, API, and all associated data services accessible at greenlandai.ai.

Explorer: The Platform's intelligence interface for searching, analysing, and visualising frontier infrastructure data.

Agent: Any software programme, autonomous system, or AI agent that queries the GREENLANDAI API, identified by a unique agent identifier within an Account.

User: Any person, legal entity, or authorised software agent that creates or operates a GREENLANDAI Account. The User is responsible for all activity conducted through their Account, including actions taken by any agents, scripts, or automated systems operating under their API keys.

Dashboard: The web-based human interface for monitoring agent activity, reviewing query results, managing agents, and configuring account settings.

Query: A request to the GREENLANDAI API or Explorer that retrieves or analyses intelligence data. Queries are billed in joules through JoulePAI.

Frontier: A sector category tracked by the Platform: rare earth elements, compute, ocean resources, space infrastructure, Arctic resources, energy, robotics, manufacturing, biotech, and defence.

Entity: A tracked asset, company, facility, resource deposit, or infrastructure project within the GREENLANDAI knowledge graph.

Relationship Intelligence: The Platform's system for tracing connections between entities across resources, infrastructure, companies, and supply chains.

Written Notice: Communication sent via email to the User's registered email address. Notice is deemed received 24 hours after dispatch.

3. Eligibility

3.1. Users must be at least 18 years of age, or a duly registered legal entity, or an authorised software agent operating on behalf of an eligible person or entity.

3.2. By creating an Account, you represent and warrant that you meet the eligibility requirements above and that you have the authority to bind yourself or your organisation to these terms.

3.3. All GREENLANDAI users must hold an active ENYAL account and an active JoulePAI wallet, and must accept the ENYAL Terms of Service and the JoulePAI Terms of Service.

4. Acceptance

By creating a GREENLANDAI Account or using any GREENLANDAI service, you accept these terms in full. If you do not accept these terms, do not create an Account or use GREENLANDAI services.

Acceptance is recorded and archived to ENYAL's permanent immutable cryptographic ledger, creating independently verifiable proof of acceptance including the terms version and a cryptographic hash of the terms text. GREENLANDAI may update these terms and require re-acceptance of updated versions.

5. Billing and Pricing

5.1 Pay-Per-Query

GREENLANDAI operates a pay-per-query billing model. Each query to the API or Explorer consumes joules from the User's JoulePAI wallet. Joules are platform credits purchased through JoulePAI at published rates. See the JoulePAI Terms of Service for credit purchase, non-refundability, and wallet terms.

Published query costs are available at greenlandai.ai/docs. GREENLANDAI reserves the right to modify query pricing with 30 days Written Notice.

5.2 Tier Structure

5.2.1. Standard access: Platform access is pay-per-query — each metered request is deducted in joules from the account holder's JoulePAI wallet at the published query prices (greenlandai.ai/docs), with a 0.5% transaction fee; there is no subscription. New accounts receive a one-time 1,500-joule starter allocation on email verification — granted once per identity, meaning the account holder's email address ignoring +tag variants (non-transferable, spendable on any platform service; its unspent part may be moved, once, to the account holder's first agent, where it remains non-transferable and, if that agent is deleted, returns to the platform rather than to the account holder). Accounts that verified their email before 27 September 2026 received 3,100 joules and keep that allocation. Standard access carries up to five agents per account, agent requests rate-limited at 60 per minute and 5 per second per account, 3-hop relationship depth, an L4 Basket of up to 3 entities, full dashboard with agent management, and opt-in ENYAL archival of query history.

5.2.2. Enterprise tier: available by arrangement — contact info@greenlandai.ai. Agent, API-key and query allocations, rate limits, relationship depth, basket size, dashboard access, SLA, support, archival and invoicing terms are set in the individual enterprise agreement; no enterprise allocation applies until such an agreement is in place. Enterprise accounts may enter into a separate Data Processing Agreement upon request. Enterprise pricing is negotiated individually.

5.2.3. GREENLANDAI reserves the right to modify tier limits with 30 days Written Notice.

5.3 Burst Rate Limiting

5.3.1. The Platform enforces rate limits per account (per minute and per second, as stated in the tier allocation) and per network address at the edge. Requests exceeding a limit receive a 429 (Too Many Requests) response with a Retry-After header.

5.3.2. Burst rate limits apply across all access methods (Dashboard, API, agents, scripts). GREENLANDAI monitors access patterns to detect automated access that circumvents the burst rate limit by spreading requests over time.

5.3.3. Indicators of prohibited automated extraction include: patterns of requests with identical or near-identical structure repeated beyond manual capability, requests at intervals designed to stay below the burst rate while accessing large volumes of data, and zero interaction time between requests. Violations trigger immediate account review and potential termination.

5.4 Sessions

5.4.1. A session is a continuous research context that preserves conversation history for follow-up queries. A session begins when the User or agent performs their first query. Sessions expire after 48 hours of inactivity. Activity is recorded by any data retrieval action (search, view detail, hop traversal). The User may start a new session at any time.

5.4.2. Follow-up queries within a session that refine or extend a previous query are billed at the standard query rate. Sessions provide context continuity, not billing discounts.

5.5 Relationship Intelligence and L4 Basket

5.5.1. Each tier specifies a maximum hop depth for relationship intelligence queries. Requests exceeding the tier's hop depth will be declined. Each hop consumes joules at the published detail query rate.

5.5.2. The L4 Basket is a collection of entities selected by the User for multi-entity relationship analysis. Adding entities to the L4 Basket consumes no joules. Analysing the L4 Basket consumes joules at the published detail query rate per entity per analysis.

5.5.3. Example: A subscriber (max 3 hops) following the path Company A → Investor B → Board Member C → Company D consumes 3 hops of depth and 3 Detail credits. A fourth hop is declined if it exceeds the subscription limit.

5.6 Billing Mechanics

5.6.1. Query costs are deducted from the User's JoulePAI wallet in real time. If the wallet has insufficient balance, the query is rejected with a 402 (Payment Required) response. Agents may authenticate and pay for queries using the x402 protocol through JoulePAI's payment infrastructure, enabling automated payment negotiation without manual billing interaction.

5.6.2. Enterprise accounts billed via Stripe invoicing are not subject to real-time joule deduction. Enterprise usage is tracked and invoiced monthly.

5.6.3. Published rate limits are available at greenlandai.ai/docs. GREENLANDAI reserves the right to modify rate limits with 14 days Written Notice.

6. Intelligence Data and Usage

6.1 Permitted Use

The Platform is provided for research, analysis, and decision-support purposes. Users may use Platform intelligence to inform their own business decisions, investment analysis, strategic planning, and research. Agents may query the Platform programmatically to support autonomous decision-making within the User's operations.

6.2 Prohibited Use

Users and agents must not:

6.2.1. Systematically extract, scrape, or bulk-download Platform data, whether manually or through automated means. Agents must query for specific intelligence needs, not exhaustive data extraction.

6.2.2. Redistribute, resell, sublicence, or make available to third parties any data, analysis, or outputs obtained from the Platform, whether in raw, processed, aggregated, summarised, or otherwise transformed form.

6.2.3. Use Platform data for training, fine-tuning, inference, prompt engineering, embeddings, synthetic data generation, or any machine learning or AI development, whether direct or indirect. Any use of Platform data to build competing intelligence products, data enrichment services, or alternative infrastructure-tracking systems is prohibited.

6.2.4. Share account credentials, API keys, or session tokens with third parties.

6.2.5. Attempt to circumvent rate limits, query allocations, hop depth restrictions, or any other access controls.

6.2.6. Use the Platform for any purpose that is unlawful, harmful, or in violation of any applicable laws or regulations.

6.2.7. Reverse-engineer, decompile, or otherwise attempt to extract the source code, algorithms, knowledge graph structure, or data relationships of the Platform.

6.2.8. Any activity that materially misrepresents GREENLANDAI's capabilities or falsely implies endorsement, partnership, or affiliation with Greenland AI Limited.

6.3 Monitoring and Enforcement

GREENLANDAI monitors usage patterns to detect violations of Section 6.2. Indicators of prohibited use include but are not limited to: sequential queries with identical structure across systematic parameter variations, query patterns inconsistent with genuine research or agent intelligence needs, excessive concentration of queries against a single frontier or entity category, and high-volume queries with no follow-up analysis.

Systematic extraction threshold: more than 50% of available entities in a single frontier or category accessed in any 30-day period triggers automatic account review and potential termination.

6.4 Enforcement

GREENLANDAI reserves the right to: issue a warning identifying the prohibited behaviour, throttle the account for 24 hours (first violation), suspend the account pending review for 7 days (second violation), or terminate the account without refund (third violation or confirmed violation of Section 6.2.2 or 6.2.3). The enforcement path is progressive except where the violation is severe.

7. ENYAL Archival

7.1. Subscribers may opt in to archival of their query history to ENYAL's permanent immutable cryptographic ledger. This feature is disabled by default and must be explicitly enabled in the Dashboard settings.

7.2. When enabled, each query and its response are archived as an encrypted chunk in ENYAL, timestamped and independently verifiable. The archived record provides provable intelligence provenance: the User can demonstrate what intelligence they received, when they received it, and that it existed at a specific point in time.

7.3. Archival costs are billed at ENYAL's published archive rate (currently 10 joules per archive operation), deducted from the User's JoulePAI wallet in addition to the query cost. The User pays the query cost plus the archival cost per query when archival is enabled.

7.4. Archived query data is encrypted and subject to ENYAL's Terms of Service regarding data permanence, key management, and right to erasure. Once archived, query data cannot be deleted from the permanent ledger. Users should review ENYAL's data permanence terms before enabling archival.

7.5. Users may disable archival at any time. Disabling archival stops future queries from being archived but does not affect previously archived records, which remain permanent.

8. Data Ownership and Intellectual Property

8.1. All data, analysis, relationships, entity records, and intelligence within the Platform are the exclusive property of Greenland AI Limited. The Platform's knowledge graph, relationship intelligence, and analytical outputs are proprietary and protected by applicable intellectual property laws.

8.2. Upon acceptance of these terms and payment of applicable query costs, the Company grants the User a limited, non-exclusive, non-transferable, revocable licence to access and use Platform intelligence solely for the User's own internal purposes, subject to the restrictions in Section 6.

8.3. Nothing in these terms transfers any ownership rights in Platform data, technology, or intellectual property to the User. The User acquires no rights in the data beyond the limited licence described in Section 8.2.

8.4. Any data, queries, or content submitted by the User to the Platform remains the User's property. The Company may use anonymised and aggregated query patterns to improve Platform functionality but will not disclose individual User queries to third parties.

9. Data Accuracy and Disclaimers

9.1. The Company makes reasonable efforts to ensure Platform intelligence is accurate, current, and sourced from reliable public and proprietary sources. However, the Company does not guarantee the accuracy, completeness, or timeliness of any data. The Platform tracks over 55,000 entities across ten frontiers; data quality varies by source and sector.

9.2. Platform intelligence is provided for informational purposes only and does not constitute investment advice, legal advice, geological assessment, or professional recommendation of any kind.

9.3. The User is solely responsible for verifying any intelligence obtained from the Platform before making business, investment, or operational decisions. Agents that make autonomous decisions based on Platform intelligence do so at the User's risk.

9.4. GREENLANDAI is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Service level agreements with uptime commitments are available to Enterprise tier users only under separate agreement.

10. Limitation of Liability

10.1. GREENLANDAI's total liability to any User for any claim arising from or related to the service shall not exceed the total amount paid by the User for GREENLANDAI services (query costs) in the 3 months immediately preceding the claim.

10.2. GREENLANDAI is not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of opportunity, regardless of the cause of action.

10.3. GREENLANDAI is not liable for losses arising from: the User's reliance on Platform intelligence for investment, operational, or strategic decisions, third-party service outages (including ENYAL, JoulePAI, or data source providers), agent errors or autonomous decisions based on Platform data, or force majeure events.

10.4. GREENLANDAI is not liable for the quality, accuracy, or timeliness of intelligence derived from third-party data sources. GREENLANDAI aggregates and analyses public and proprietary data; the underlying sources are outside GREENLANDAI's control.

10.5. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, GREENLANDAI's liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

11.1. Users agree to indemnify, defend, and hold harmless Greenland AI Limited, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: the User's use of GREENLANDAI, decisions made based on Platform intelligence, the User's violation of these terms, or the User's violation of any applicable law or regulation, except to the extent caused by GREENLANDAI's own gross negligence or wilful misconduct.

11.2. This indemnification obligation survives termination of the User's Account or these terms.

12. Prohibited Activities

In addition to the restrictions in Section 6.2, the following activities are prohibited:

12.1. Automated creation of multiple Accounts or coordinated activity to circumvent rate limits, tier restrictions, or query allocations.

12.2. Interfering with, exploiting, or attempting to compromise GREENLANDAI's infrastructure, API, knowledge graph, or security systems.

12.3. Using GREENLANDAI to facilitate sanctions evasion, fraud, or any activity that would constitute a financial crime under applicable law.

GREENLANDAI reserves the right to suspend Accounts and revoke API access immediately and without notice for any prohibited activity.

12.4. GREENLANDAI reserves the right to screen users against applicable sanctions lists at account creation and periodically during operations. Users identified on sanctions lists may be immediately suspended.

12.5. GREENLANDAI may use behavioural analysis to detect coordinated account creation or abuse patterns.

13. Account Suspension and Termination

13.1. Users may close their Account at any time by contacting info@greenlandai.ai. Upon Account closure, access to the Platform ceases. Query history stored locally by GREENLANDAI is deleted when you close your Account. Query history archived to ENYAL (if opted in) remains permanent and is subject to ENYAL's data permanence terms.

13.2. We may suspend an Account or revoke API access immediately where our systems or team detect abuse, a security risk, or a compliance obligation. Suspension takes effect at once and is recorded with a reason code. We do not currently operate a 48-hour read-only grace period or a separate formal appeals process; to contest an action, contact us at info@greenlandai.ai.

13.3. Users may contest a suspension or other enforcement action at any time by contacting info@greenlandai.ai.

13.4. Upon termination, Platform access ceases immediately, API keys are deactivated, and the User must immediately cease all use and distribution of any intelligence obtained during the subscription period. The User must not retain offline copies for further use or distribution.

14. Relationship with ENYAL and Other Products

14.1. GREENLANDAI operates within the Greenland AI ecosystem alongside ENYAL (trust infrastructure, available at enyal.ai/terms), JoulePAI (payment infrastructure, available at joulepai.ai/terms), and RAREEAI (resource marketplace, available at raree.ai/terms). Each product has separate terms of service. In the event of a conflict between GREENLANDAI's terms and another product's terms regarding GREENLANDAI services, GREENLANDAI's terms prevail.

14.2. Users authenticate with GREENLANDAI through their ENYAL account. ENYAL serves as the identity provider for the Greenland AI ecosystem. Suspension of a User's ENYAL account may affect their ability to authenticate with GREENLANDAI. However, the User's query history and intelligence data stored locally by GREENLANDAI are not affected by an ENYAL suspension. Users may contact info@greenlandai.ai for alternative access during an ENYAL suspension period.

14.3. GREENLANDAI query billing is processed through JoulePAI. The User's joule balance is held in a JoulePAI wallet. The operation and availability of the JoulePAI wallet is governed by JoulePAI's Terms of Service. If JoulePAI is unavailable, queries requiring billing are temporarily unavailable. Dashboard access and review of previously retrieved intelligence continue without interruption.

14.4. A failure, outage, or issue with ENYAL does not affect GREENLANDAI's query service or dashboard availability, except that ENYAL archival (Section 7) is deferred until ENYAL is restored. A failure, outage, or issue with RAREEAI does not affect GREENLANDAI operations.

15. Infrastructure Fund

15.1. GREENLANDAI may in future offer an Infrastructure Fund feature enabling Users and their agents to acquire fractional ownership interests in real-world infrastructure assets tracked by the Platform. This feature is not yet available.

15.2. When the Infrastructure Fund is launched, separate terms governing fund participation, asset ownership, returns, and regulatory compliance will be published. Those terms will supplement but not replace these Terms of Service.

15.3. Nothing in these terms creates any obligation for GREENLANDAI to launch the Infrastructure Fund or grants any User the right to participate in future fund offerings.

16. Data and Privacy

16.1. GREENLANDAI collects Account information, query history, API usage data, agent identifiers, and Dashboard access logs necessary for the operation of the service.

16.2. The Company may use anonymised and aggregated query patterns to improve Platform intelligence and functionality. Individual User queries are not disclosed to third parties.

16.3. GREENLANDAI processes data in accordance with applicable data protection laws, including GDPR where applicable. A separate Privacy Policy is available at greenlandai.ai/privacy.

16.4. GREENLANDAI retains query history and API usage logs while the Account is active; they are not subject to a fixed-window automatic purge. When you close your Account, your sessions, query history and API request logs are deleted. Financial records related to query billing are retained for 7 years as required by Irish financial record-keeping law. Upon account closure and right to erasure, retained financial records are pseudonymised so they cannot be linked back to the individual.

16.5. GREENLANDAI does not sell user data to third parties.

16.6. Enterprise customers may request a Data Processing Agreement by contacting info@greenlandai.ai.

17. Dispute Resolution

17.1. Any dispute arising from GREENLANDAI services should be directed to info@greenlandai.ai.

17.2. GREENLANDAI will acknowledge disputes within 5 business days and provide a substantive response within 15 business days.

17.3. GREENLANDAI's liability in any dispute is limited as set out in Section 10.

18. Modifications

18.1. GREENLANDAI may modify these terms at any time. Material changes will be communicated with 30 days Written Notice.

18.2. Continued use of GREENLANDAI after the notice period constitutes acceptance of the modified terms.

18.3. Users who do not accept modified terms must cease using GREENLANDAI. Remaining joule balances are held in JoulePAI and subject to JoulePAI's Terms of Service.

19. Force Majeure

19.1. GREENLANDAI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: data source outages, third-party API failures, network failures, natural disasters, war, terrorism, pandemics, power failures, internet disruptions, government actions, or regulatory changes.

19.2. In the event of a force majeure lasting more than 30 consecutive days, either party may terminate the relationship in accordance with Section 13.

20. Operational Continuity

20.1. In the event GREENLANDAI ceases operations, GREENLANDAI will provide a minimum of 90 days advance Written Notice to all Users.

20.2. During the notice period, GREENLANDAI will use reasonable endeavours to enable Users to export their query history and intelligence data. Query history archived to ENYAL survives GREENLANDAI cessation and remains independently verifiable.

20.3. GREENLANDAI reserves the right to transfer its obligations, assets, and User Accounts to a successor entity, provided the successor agrees to honour these terms or equivalent protections.

21. Governing Law

21.1. These terms are governed by the laws of Ireland.

21.2. Any dispute arising from alleged violations of Section 6 (Intelligence Data and Usage) or Section 8 (Data Ownership and Intellectual Property) shall be resolved through binding arbitration in Dublin, Ireland, conducted under the rules of the Chartered Institute of Arbitrators. Arbitration proceedings and outcomes are confidential.

21.3. All other disputes not resolved under Section 17 shall be subject to the exclusive jurisdiction of the courts of Ireland.

22. Accessibility

22.1. GREENLANDAI's platform is designed to comply with WCAG 2.1 AA accessibility standards. Users who encounter accessibility barriers may contact info@greenlandai.ai for assistance.

23. Entire Agreement, Survival, and Severability

23.1. These terms, together with the ENYAL Terms of Service (available at enyal.ai/terms), the JoulePAI Terms of Service (available at joulepai.ai/terms), and the Privacy Policy at greenlandai.ai/privacy, constitute the entire agreement between the User and GREENLANDAI regarding the use of the service. In the event of a conflict between these documents regarding GREENLANDAI intelligence services, these terms prevail.

23.2. The following sections survive termination of the User's Account or these terms: Section 6 (Intelligence Data and Usage, including prohibited use and IP restrictions), Section 8 (Data Ownership and Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), and Section 23 (Entire Agreement, Survival, and Severability).

23.3. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23.4. GREENLANDAI's failure to enforce any provision of these terms does not constitute a waiver of that provision.
